Indemnification.  Bongarde shall reimburse Client up to $10,000 for fines imposed by any governmental authority arising out of the failure of the content of the Labour Law Posters or the Safegarde updates to conform to any applicable law, rule or regulation. This indemnification will not apply if any governmental authority directly warns Client of a potential fine, and this warning is not communicated by the client to Bongarde to allow reasonable time for corrective action.

Warranty.      Bongarde represents and warrants that:  (a) the Labour Law Posters and the Safegarde updates shall be of the specifications agreed to under this Agreement and shall be of commercially acceptable quality and fit for the general purpose for which sold; (b) the Labour Law Posters and the Safegarde updates shall not infringe the intellectual property rights of any third party; and (c) the Labour Law Posters and the Safegarde updates shall comply with applicable laws, rules and regulations.
